Our mission is to provide accurate information, valuable resources, and a supportive community for women navigating the physical, emotional, and mental changes associated with menopause. Through research-backed content, educational workshops, and personalized support, Menopause Matter strives to raise awareness, promote understanding, and create a positive and empowering environment for women experiencing menopause. Where healthcare providers have the knowledge and resources to provide optimal care. Our programs, policies, and practices reflect our dedication to inclusion, ensuring that all voices are heard and considered in our decision-making processes<\/p>\n\n\n\n<p><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Bylaws<\/h2>\n\n\n\n<p><strong>Updated August 26, 2024<\/strong>&nbsp;<\/p>\n\n\n\n<p><strong>R\u00c8GLEMENT N\u00b0 1 1 DE L'AFFAIRE DE LA M\u00c9NOPAUSE<\/strong>&nbsp;<\/p>\n\n\n\n<p><em>(Conform\u00e9ment \u00e0 la loi sur les soci\u00e9t\u00e9s \u00e0 but non lucratif de l'Ontario)<\/em>&nbsp;<\/p>\n\n\n\n<p><strong>ARTICLE 1 : D\u00c9NOMINATION, SI\u00c8GE SOCIAL ET SCEAU DE LA SOCI\u00c9T\u00c9<\/strong>&nbsp;<\/p>\n\n\n\n<p><strong>1.1 NOM :<\/strong>&nbsp;<br>Le nom de l'organisation est Menopause Matter, ci-apr\u00e8s d\u00e9nomm\u00e9e MM.&nbsp;<\/p>\n\n\n\n<p><strong>1.2 LE SI\u00c8GE SOCIAL :<\/strong>&nbsp;<br>The Head Office shall be in North York, Ontario, and the place therein where the affairs of the organization are from time to time carried on.&nbsp;<\/p>\n\n\n\n<p><strong>1.3 SEAL :<\/strong>&nbsp;<br>Le sceau de l'organisation se pr\u00e9sente sous la forme imprim\u00e9e. Ce sceau reste sous la garde du pr\u00e9sident ou d'un responsable d\u00e9sign\u00e9 par le pr\u00e9sident avec l'approbation du conseil d'administration.&nbsp;<\/p>\n\n\n\n<p><strong>1.4 L'ANN\u00c9E FISCALE :<\/strong>&nbsp;<br>L'exercice financier de l'organisation s'\u00e9tend du 1er janvier au 31 d\u00e9cembre.&nbsp;<\/p>\n\n\n\n<p><strong>ARTICLE 2 : D\u00c9FINITIONS<\/strong>&nbsp;<\/p>\n\n\n\n<p><strong>2.1 MM :<\/strong>&nbsp;<br>\u201cMM\u201d signifie \"Menopause Matter\".&nbsp;<\/p>\n\n\n\n<p><strong>2.2 ORGANISATION :<\/strong>&nbsp;<br>\u201cOrganisation\u201d : Menopause Matter.&nbsp;<\/p>\n\n\n\n<p><strong>2.3 R\u00c8GLEMENT :<\/strong>&nbsp;<br>\u201cPar \u201dr\u00e8glement\", on entend le pr\u00e9sent r\u00e8glement, l'article 18 de la loi sur les soci\u00e9t\u00e9s \u00e0 but non lucratif (Ontario) et tout autre r\u00e8glement du MM en vigueur de temps \u00e0 autre.&nbsp;<\/p>\n\n\n\n<p><strong>2.4 BOARD :<\/strong>&nbsp;<br>\u201cConseil\u201d : le conseil d'administration de MM.&nbsp;<\/p>\n\n\n\n<p><strong>2.5 OFFICIER :<\/strong>&nbsp;<br>\u201cOn entend par \u201dresponsable\" un membre du conseil d'administration qui est autoris\u00e9 \u00e0 signer des comptes bancaires et\/ou d'autres documents en vertu de la fonction qu'il\/elle occupe au sein du conseil d'administration.&nbsp;<\/p>\n\n\n\n<p><strong>2.6 DIRECTEUR :<\/strong>&nbsp;<br>\u201cLe terme \u201ddirecteur\" d\u00e9signe chacun des membres du conseil d'administration, y compris les membres du bureau.&nbsp;<\/p>\n\n\n\n<p><strong>2.7 MEMBRE :<\/strong>&nbsp;<br>\u201cMembre\u201d : tout membre du MM d\u00fbment admis \u00e0 l'adh\u00e9sion en vertu de l'article 4 du pr\u00e9sent r\u00e8glement.&nbsp;<\/p>\n\n\n\n<p><strong>ARTICLE 3 : CODE DE CONDUITE DES MEMBRES<\/strong>&nbsp;<\/p>\n\n\n\n<p><strong>3.1 Service<\/strong>&nbsp;<br>Les membres sont encourag\u00e9s \u00e0&nbsp;<br>a) Agir avec \u00e9quit\u00e9, honn\u00eatet\u00e9, int\u00e9grit\u00e9 et transparence.&nbsp;<br>b) Respecter les opinions des autres.&nbsp;<br>c) Traiter tout le monde avec \u00e9galit\u00e9 et dignit\u00e9, sans distinction de sexe, de race, de couleur, de croyance, d'ascendance, de lieu d'origine, de convictions politiques, de religion, d'\u00e9tat civil, de handicap, d'\u00e2ge ou d'orientation sexuelle.&nbsp;<br>d) Promouvoir la mission, les objectifs et les id\u00e9aux de Menopause Matter dans toutes les relations avec le public au nom de l'organisation et au sein de MM.&nbsp;<br>e) Favoriser et fournir une exp\u00e9rience positive et appr\u00e9ci\u00e9e aux parties prenantes qui re\u00e7oivent des services au sein et en dehors du MM.&nbsp;<\/p>\n\n\n\n<p><strong>3.2 Responsabilit\u00e9<\/strong>&nbsp;<br>Les membres doivent :&nbsp;<br>a) Agir \u00e0 tout moment avec honn\u00eatet\u00e9 et int\u00e9grit\u00e9 et, le cas \u00e9ch\u00e9ant, agir conform\u00e9ment aux normes professionnelles et\/ou aux lois et l\u00e9gislations en vigueur qui peuvent s'appliquer aux fonctions et responsabilit\u00e9s exerc\u00e9es pour et au nom de MM.&nbsp;<br>b) se conformer \u00e0 la lettre et \u00e0 l'esprit de toute formation ou orientation fournie par MM dans le cadre de ces responsabilit\u00e9s.&nbsp;<br>c) adh\u00e9rer aux politiques et proc\u00e9dures \u00e9nonc\u00e9es par le MM et soutenir les d\u00e9cisions et orientations du conseil d'administration et des membres.&nbsp;<br>d) Assumer la responsabilit\u00e9 de leurs actions et de leurs d\u00e9cisions.&nbsp;<br>e) Respecter les canaux de communication et les lignes hi\u00e9rarchiques \u00e9tablis afin de faciliter la r\u00e9solution efficace des probl\u00e8mes.&nbsp;<br>f) n'outrepassent pas l'autorit\u00e9 que leur conf\u00e8re leur fonction, mais consultent librement le membre du conseil d'administration concern\u00e9 pour une discussion plus approfondie.&nbsp;<\/p>\n\n\n\n<p><strong>ARTICLE 4 : OBJECTIFS<\/strong>&nbsp;<\/p>\n\n\n\n<p><strong>4.1<\/strong>Soutenir et responsabiliser les personnes en situation de m\u00e9nopause par l'\u00e9ducation, la d\u00e9fense des droits et les programmes communautaires.&nbsp;<\/p>\n\n\n\n<p><strong>4.2<\/strong>Proposer des programmes sociaux, culturels et \u00e9ducatifs qui r\u00e9pondent aux besoins des membres et de la communaut\u00e9.&nbsp;<\/p>\n\n\n\n<p><strong>4.3<\/strong>Offrir une large gamme de services qui r\u00e9pondent aux divers besoins des personnes m\u00e9nopaus\u00e9es.&nbsp;<\/p>\n\n\n\n<p><strong>4.4<\/strong>D\u00e9fendre les int\u00e9r\u00eats de la communaut\u00e9 sur divers sujets li\u00e9s \u00e0 la m\u00e9nopause.&nbsp;<\/p>\n\n\n\n<p><strong>4.5<\/strong>Favoriser l'int\u00e9gration communautaire et contribuer au d\u00e9veloppement d'une soci\u00e9t\u00e9 de soutien \u00e0 la m\u00e9nopause au Canada.&nbsp;<\/p>\n\n\n\n<p><strong>4.6<\/strong>Collaborer avec des agences et des organisations qui partagent des valeurs et des objectifs similaires.&nbsp;<\/p>\n\n\n\n<p><strong>4.7<\/strong>Acqu\u00e9rir et d\u00e9tenir des biens immobiliers et personnels par achat, legs, location ou autre pour les besoins de l'organisation.&nbsp;<\/p>\n\n\n\n<p><strong>4.8<\/strong>Investir les fonds de l'organisation dans toutes les valeurs mobili\u00e8res dans lesquelles, en vertu de la loi sur les fiduciaires, le conseil d'administration peut investir des fonds, \u00e0 sa discr\u00e9tion.&nbsp;<\/p>\n\n\n\n<p><strong>4.9<\/strong>En cas de dissolution de l'organisation, et apr\u00e8s paiement de toutes les dettes et obligations, distribuer les biens restants \u00e0 des organisations caritatives qui soutiennent les valeurs et les objectifs de l'organisation et qui effectuent leur travail uniquement au Canada.&nbsp;<\/p>\n\n\n\n<p><strong>ARTICLE 5 : MEMBRES<\/strong>&nbsp;<\/p>\n\n\n\n<p><strong>5.1<\/strong>Sont membres de l'organisation toutes les personnes ou tous les groupes qui sont, de temps \u00e0 autre, accept\u00e9s comme membres de la mani\u00e8re prescrite ci-apr\u00e8s et dont l'adh\u00e9sion n'a pas \u00e9t\u00e9 annul\u00e9e par une expulsion ou un retrait.&nbsp;<\/p>\n\n\n\n<p><strong>5.2<\/strong>Il existe trois cat\u00e9gories de membres : Les membres ordinaires, les membres affili\u00e9s et les membres \u00e0 vie.&nbsp;<\/p>\n\n\n\n<p><strong>5.3<\/strong>Les cat\u00e9gories de membres r\u00e9guliers sont les adultes et les personnes \u00e2g\u00e9es ; les conditions d'adh\u00e9sion aux membres r\u00e9guliers sont les suivantes :&nbsp;<\/p>\n\n\n\n<p><strong>5.3.1<\/strong>L'adh\u00e9sion r\u00e9guli\u00e8re est ouverte \u00e0 toutes les personnes qui partagent les buts et objectifs de l'organisation.&nbsp;<br><strong>5.3.2<\/strong>Les membres ordinaires, \u00e2g\u00e9s de seize ans ou plus, participent \u00e0 toutes les activit\u00e9s de l'organisation et peuvent voter sur les questions relatives au MM.&nbsp;<br><strong>5.3.3<\/strong>Un membre titulaire peut occuper n'importe quel poste au sein du conseil d'administration ou en tant que pr\u00e9sident d'un comit\u00e9 permanent ou d'un autre comit\u00e9.&nbsp;<br><strong>5.3.4<\/strong>Les membres titulaires sont tenus de verser une cotisation annuelle \u00e0 l'organisation.&nbsp;<br><strong>5.3.5<\/strong>La demande d'adh\u00e9sion \u00e0 titre de membre ordinaire se fait par \u00e9crit ou en ligne et doit \u00eatre approuv\u00e9e par une r\u00e9solution du conseil d'administration.&nbsp;<br><strong>5.3.6<\/strong>\u00c0 la discr\u00e9tion du conseil d'administration, avec l'approbation des membres, la qualit\u00e9 de membre r\u00e9gulier peut \u00eatre retir\u00e9e si les activit\u00e9s et\/ou les objectifs du membre r\u00e9gulier sont en contradiction avec les int\u00e9r\u00eats du MM.&nbsp;<\/p>\n\n\n\n<p><strong>5.4<\/strong>Les conditions \u00e0 remplir pour devenir membre affili\u00e9 sont les suivantes :&nbsp;<\/p>\n\n\n\n<p><strong>5.4.1<\/strong>L'affiliation est ouverte \u00e0 toutes les organisations qui partagent les buts et objectifs de l'organisation.&nbsp;<br><strong>5.4.2<\/strong>Les membres affili\u00e9s participent \u00e0 toutes les activit\u00e9s de l'organisation mais n'ont pas le droit de vote sur les questions relatives au MM.&nbsp;<br><strong>5.4.3<\/strong>Les membres affili\u00e9s sont tenus de verser une cotisation annuelle \u00e0 l'organisation.&nbsp;<br><strong>5.4.4<\/strong>Les membres affili\u00e9s ne peuvent pas occuper un poste au sein du conseil d'administration, ni \u00eatre membre ou pr\u00e9sident d'un comit\u00e9.&nbsp;<br><strong>5.4.5<\/strong>La demande d'adh\u00e9sion en tant que membre affili\u00e9 se fait \u00e0 l'aide du formulaire de demande en ligne et doit \u00eatre approuv\u00e9e par une motion du conseil d'administration.&nbsp;<br><strong>5.4.6<\/strong>\u00c0 la discr\u00e9tion du conseil d'administration et avec l'approbation des membres, l'adh\u00e9sion d'un affili\u00e9 peut \u00eatre r\u00e9voqu\u00e9e si les activit\u00e9s et\/ou les objectifs de l'affili\u00e9 sont en contradiction avec les int\u00e9r\u00eats du MM.&nbsp;<\/p>\n\n\n\n<p><strong>5.5<\/strong>Les conditions d'adh\u00e9sion \u00e0 vie sont les suivantes :&nbsp;<\/p>\n\n\n\n<p><strong>5.5.1<\/strong>Lors de la c\u00e9l\u00e9bration annuelle de l'anniversaire, la qualit\u00e9 de membre \u00e0 vie peut \u00eatre conf\u00e9r\u00e9e \u00e0 toute personne ayant apport\u00e9 une contribution significative \u00e0 l'organisation ou \u00e0 la communaut\u00e9 ou ayant \u00e9t\u00e9 membre en r\u00e8gle pendant au moins dix ans.&nbsp;<br><strong>5.5.2<\/strong>Les candidatures au titre de membre \u00e0 vie doivent \u00eatre soumises au comit\u00e9 des adh\u00e9sions, qui les soumet au conseil d'administration pour approbation.&nbsp;<br><strong>5.5.3<\/strong>Les membres \u00e0 vie ne sont pas tenus de payer une cotisation annuelle \u00e0 l'organisation.&nbsp;<br><strong>5.5.4<\/strong>Les membres \u00e0 vie peuvent participer \u00e0 toutes les activit\u00e9s de l'organisation, voter et exercer des fonctions.&nbsp;<\/p>\n\n\n\n<p><strong>ARTICLE 6 : COTISATIONS<\/strong>&nbsp;<\/p>\n\n\n\n<p><strong>6.1<\/strong>Les cotisations payables par les membres r\u00e9guliers et affili\u00e9s sont, de temps \u00e0 autre, recommand\u00e9es par un vote majoritaire du conseil d'administration et n'entrent en vigueur que lorsqu'elles sont confirm\u00e9es par un vote majoritaire des membres lors d'une r\u00e9union annuelle ou extraordinaire des membres.&nbsp;<\/p>\n\n\n\n<p><strong>6.2<\/strong>La p\u00e9riode d'adh\u00e9sion s'\u00e9tend du 1er janvier au 31 d\u00e9cembre. Toutes les cotisations sont dues le 1er janvier de chaque ann\u00e9e.&nbsp;<\/p>\n\n\n\n<p><strong>6.3<\/strong>Lors de chaque assembl\u00e9e g\u00e9n\u00e9rale annuelle, les \u00e9lecteurs \u00e9ligibles sont les membres qui ont pay\u00e9 leur cotisation au 31 janvier de l'ann\u00e9e en cours.&nbsp;<\/p>\n\n\n\n<p><strong>ARTICLE 7 : CONSEIL D'ADMINISTRATION, COMIT\u00c9S, ADMINISTRATEURS<\/strong>&nbsp;<\/p>\n\n\n\n<p><strong>7.1<\/strong>Seuls les membres titulaires en r\u00e8gle sont \u00e9ligibles au conseil d'administration.&nbsp;<\/p>\n\n\n\n<p><strong>7.2<\/strong>Le conseil d'administration est compos\u00e9 des personnes suivantes :&nbsp;<br><strong>7.2.1<\/strong>Pr\u00e9sident&nbsp;<br><strong>7.2.2<\/strong>Vice-pr\u00e9sident&nbsp;<br><strong>7.2.3<\/strong>Secr\u00e9taire ex\u00e9cutif&nbsp;<br><strong>7.2.4<\/strong>Tr\u00e9sorier&nbsp;<br><strong>7.2.5<\/strong>Directeur de la collecte de fonds&nbsp;<br><strong>7.2.6<\/strong>Directeur de la communication&nbsp;<br><strong>7.2.7<\/strong>Directeur g\u00e9n\u00e9ral&nbsp;<br><strong>7.2.8<\/strong>Directeur g\u00e9n\u00e9ral&nbsp;<br><strong>7.2.9<\/strong>Directeur g\u00e9n\u00e9ral&nbsp;<br><strong>7.2.10<\/strong>Le pr\u00e9sident sortant (sans droit de vote)&nbsp;<\/p>\n\n\n\n<p><strong>7.3. Comit\u00e9s :<\/strong>&nbsp;<br>Les commissions permanentes suivantes rendent compte au conseil d'administration par l'interm\u00e9diaire du vice-pr\u00e9sident et directement aux membres lors de chaque assembl\u00e9e g\u00e9n\u00e9rale :&nbsp;<br><strong>7.3.1<\/strong>Commission de l'\u00e9ducation&nbsp;<br><strong>7.3.2<\/strong>Comit\u00e9 des \u00e9v\u00e9nements pour les membres&nbsp;<br><strong>7.3.3<\/strong>Comit\u00e9 des services aux membres&nbsp;<br><strong>7.3.4<\/strong>Comit\u00e9 de d\u00e9fense des int\u00e9r\u00eats&nbsp;<br><strong>7.3.5<\/strong>Comit\u00e9 de sensibilisation&nbsp;<\/p>\n\n\n\n<p><strong>7.4. \u00c9lections :<\/strong>&nbsp;<br>Les \u00e9lections ont lieu chaque ann\u00e9e. Le conseil d'administration et les pr\u00e9sidents des commissions permanentes sont \u00e9lus pour un mandat de deux ans. Pour assurer la continuit\u00e9, quatre membres du conseil d'administration, trois pr\u00e9sidents de commission et deux administrateurs sont \u00e9lus une ann\u00e9e, et cinq membres du conseil d'administration, trois pr\u00e9sidents de commission et un administrateur l'ann\u00e9e suivante.&nbsp;<\/p>\n\n\n\n<p><strong>7.4.1<\/strong>Les directeurs, pr\u00e9sidents et administrateurs suivants sont \u00e9lus les ann\u00e9es paires :&nbsp;<br>a) The President&nbsp;<br>b) The Treasurer&nbsp;<br>c) Two Directors at Large&nbsp;<br>d) Three Committee Chairs&nbsp;<br>e) Two Trustees&nbsp;<\/p>\n\n\n\n<p><strong>7.4.2<\/strong>\u202fThe following Directors, Chairs, and Trustees are elected in odd-numbered years:&nbsp;<br>a) The Vice-President&nbsp;<br>b) The Executive Secretary&nbsp;<br>c) The Director of Fundraising&nbsp;<br>d) The Director of Communications&nbsp;<br>e) One Director at Large&nbsp;<br>f) Three Committee Chairs&nbsp;<br>g) One Trustee&nbsp;<\/p>\n\n\n\n<p><strong>7.5<\/strong>\u202fThe Board of Directors shall meet monthly and at other times as required.&nbsp;<\/p>\n\n\n\n<p><strong>7.6<\/strong>\u202fThe quorum at Board meetings shall be a majority of the Board members.&nbsp;<\/p>\n\n\n\n<p><strong>7.7<\/strong>\u202fVacancies on the Board or among the Trustees that occur between elections may be filled by appointment by the Board, with such appointments being ratified by the membership at the next Annual General Meeting.&nbsp;<\/p>\n\n\n\n<p><strong>7.8 Removal from Office:<\/strong>&nbsp;<br>Any Director or Trustee may be removed from office for cause by a two-thirds vote of the members present at a Special Membership Meeting called for that purpose.&nbsp;<\/p>\n\n\n\n<p><strong>7.9 Duties of Officers and Directors:<\/strong>&nbsp;<br>a) The President shall preside at all meetings of the organization and the Board and shall be an ex-officio member of all committees.&nbsp;<br>b) The Vice-President shall assist the President and, in the absence or disability of the President, perform the duties of the President.&nbsp;<br>c) The Executive Secretary shall keep accurate records of the proceedings of the organization and the Board and be responsible for the correspondence of the organization.&nbsp;<br>d) The Treasurer shall be responsible for the financial affairs of the organization, including maintaining accurate financial records and preparing financial reports.&nbsp;<br>e) The Director of Fundraising shall be responsible for coordinating and overseeing fundraising activities.&nbsp;<br>f) The Director of Communications shall be responsible for managing the organization\u2019s internal and external communications.&nbsp;<br>g) Directors at Large shall perform such duties as assigned by the Board or the President.&nbsp;<\/p>\n\n\n\n<p><strong>ARTICLE 8: MEETINGS<\/strong>&nbsp;<\/p>\n\n\n\n<p><strong>8.1 Annual General Meeting:<\/strong>&nbsp;<br>The Annual General Meeting (AGM) of the members shall be held within 90 days after the end of the fiscal year, at a time and place determined by the Board.&nbsp;<\/p>\n\n\n\n<p><strong>8.2 Special Membership Meetings:<\/strong>&nbsp;<br>Special Membership Meetings may be called by the President or by written request of at least 10% of the membership. Notice of such meetings shall be given at least 14 days in advance.&nbsp;<\/p>\n\n\n\n<p><strong>8.3 Quorum for Membership Meetings:<\/strong>&nbsp;<br>The quorum for the AGM or any Special Membership Meeting shall be 25% of members in good standing.&nbsp;<\/p>\n\n\n\n<p><strong>8.4 Voting:<\/strong>&nbsp;<br>Each member in good standing shall be entitled to one vote on each matter to be voted on at any meeting of members.&nbsp;<\/p>\n\n\n\n<p><strong>ARTICLE 9: FINANCIAL MANAGEMENT<\/strong>&nbsp;<\/p>\n\n\n\n<p><strong>9.1<\/strong>\u202fThe financial affairs of MM shall be managed in accordance with generally accepted accounting principles.&nbsp;<\/p>\n\n\n\n<p><strong>9.2<\/strong>\u202fThe Board shall ensure that an annual financial review or audit is conducted by an independent accountant.&nbsp;<\/p>\n\n\n\n<p><strong>9.3<\/strong>\u202fAll cheques, drafts, or orders for the payment of money shall be signed by two officers designated by the Board.&nbsp;<\/p>\n\n\n\n<p><strong>ARTICLE 10: AMENDMENTS<\/strong>&nbsp;<\/p>\n\n\n\n<p><strong>10.1<\/strong>\u202fAmendments to the By-Laws may be proposed by the Board or by written request of at least 10% of the members.&nbsp;<\/p>\n\n\n\n<p><strong>10.2<\/strong>\u202fProposed amendments shall be presented in writing to the membership at least 30 days prior to the meeting at which they are to be considered.&nbsp;<\/p>\n\n\n\n<p><strong>10.3<\/strong>\u202fAmendments require a two-thirds majority vote of members present at the meeting for adoption.&nbsp;<\/p>\n\n\n\n<p><strong>ARTICLE 11: DISSOLUTION<\/strong>&nbsp;<\/p>\n\n\n\n<p><strong>11.1<\/strong>\u202fIn the event of the dissolution of Menopause Matter, any remaining assets, after the payment of liabilities, shall be distributed to one or more charitable organizations in Canada with similar objectives.&nbsp;<\/p>","protected":false},"excerpt":{"rendered":"<p>Menopause Matter is a dedicated non-profit organization focused on empowering and supporting women during their menopause journey.
